Antitrust Risk
The risk that government antitrust authorities (FTC, DOJ, EU Commission, China SAMR) will block or condition a proposed merger. Driving force in 2024-2026 deal-spread widening: more activist FTC + DOJ leadership challenged more deals than the prior decade. The HSR filings themselves are confidential by statute; the public record most retail investors skip is the merger agreement's antitrust covenants (who must divest, who may walk, who pays the break fee) and the proxy's regulatory-approvals section.
